Item 8.01. Other Events.

As of the end of the trading day on April 28, 2025, Greenlane Holdings, Inc. (the "Company") had an aggregate of 319,816,671 shares of common stock outstanding. The newly issued shares were issued pursuant to the exercise of pre-funded warrants and Series B warrants sold in connection with the Company's previously announced private placement (the "Private Placement"), which was consummated on February 19, 2025 and which were included in the registration statement on Form S-1 (File No. 333-286027) declared effective by the Securities Exchange Commissionon on April 23, 2025.
