Item 3.02 Unregistered Sale of Equity Securities.
In connection with its continuous private offering, on November 2, 2026, Nuveen Farmland REIT (the "Company") sold an aggregate of 38,881.643 common shares for aggregate consideration of approximately $0.8 million, plus upfront selling commissions, if any, applicable to the type of common shares.
