Norton Rose Fulbright advised Acwa Field Services on the acquisition of EthosEnergy, a polish steam turbine company

Global law firm Norton Rose Fulbright advised Saudi Arabia's Acwa Field Services on the legal due diligence and acquisition of EthosEnergy, a Polish limited liability company operating in the steam turbine services sector.

Acwa Field Services, is part of Acwa, a publicly listed Saudi developer, investor and operator of power generation, water desalination and green hydrogen projects. Acwa Field Services is a leading independent provider of specialised maintenance, repair and engineering services for critical power generation assets. The company delivers OEM-equivalent field services for gas turbines, steam turbines, generators and rotating equipment, supporting both Acwa assets and third-party facilities across the Middle East, Africa, Asia and selected international markets.

Norton Rose Fulbright advised on all aspects of the transaction, including conducting the legal due diligence process, negotiating and preparing the transaction documentation and coordinating the matter between its Warsaw and London offices.

The cross-border transaction required close coordination among legal advisers and stakeholders across multiple jurisdictions, as well as the effective management of English and Polish law considerations throughout the transaction process. Lawyers from Norton Rose Fulbright's offices across multiple jurisdictions worked closely together to deliver integrated and seamless legal support throughout the transaction.

The corporate and M&A workstream was led by counsel Krzysztof Jasiński, supported by counsel Artur Jończyk. The legal due diligence workstream was led by counsel Cezary Zawiślak with the involvement of associates Mateusz Czuba, Martyna Orłowska, Bartosz Odziemkowski, Nina Wołczyńska and Mikołaj Wołczyński and lawyers Filip Krasuski, Karolina Gałecka and Julita Kunda. Competition law aspects of the transaction were handled by counsel Wojciech Janik. The entire Norton Rose Fulbright team worked under the supervision of Tomasz Rogalski, partner and head of the energy and project finance practice in Poland. London-based partners Andrew Davies and Joshua Temkin provided English law advice.
