Material Agreement (Form 8-K)

On October 13, 2026, Exeter Finance LLC, EFCAR, LLC, Exeter Automobile Receivables Trust 2022-5 and Exeter Automobile Receivables Trust 2022-6 entered into a Capital Contribution Agreement, dated as of October 13, 2026, and acknowledged and agreed to by Citibank, N.A., as indenture trustee, pursuant to which EFCAR, LLC, as a holder of the equity of each of Exeter Automobile Receivables Trust 2022-5 and Exeter Automobile Receivables Trust 2022-6, may make certain limited capital contributions to each of such trusts.

On October 13, 2026, Exeter Holdings Trust 2022-6, EFCAR, LLC, Exeter Finance LLC, Exeter Automobile Receivables Trust 2022-6 and Citibank, N.A., as indenture trustee and backup servicer, entered into Amendment No. 2 to Sale and Servicing Agreement, dated as of October 13, 2026, to amend and add certain defined terms in the Sale and Servicing Agreement, dated as of November 15, 2022, as amended by Amendment No. 1 thereto, dated as of April 28, 2023 (such agreement, as so amended, the "Sale and Servicing Agreement"), related to the deposit of capital contributions into the Reserve Account (as defined in the Sale and Servicing Agreement), and the withdrawal and application of any such contributed amounts from time to time.
