Amendment to Annual Report (Form 10-K/A)

The sole purpose of this Amendment No. 1 to the Annual Report on Form 10-K (the "Form 10-K") of Groove Botanicals Inc., for the annual period ended March 31, 2025, filed with the Securities and Exchange Commission on July 16, 2025, is to correct certain typographical errors subsequently identified in the statement of cash flows and statement of stockholders' equity, as well as related notes to the financial statements. These typographical errors include corrections to dates for the reporting period and corrections to certain numerical values which were inadvertently not updated in the originally filed Form 10-K for the fiscal year ended March 31, 2025. These revisions have no impact on the previously published financial results of Groove Botanicals Inc.

No other changes have been made to the Form 10-K. This Amendment No. 1 to the Form 10-K speaks as of the original filing date of the Form 10-K, does not reflect events that may have occurred subsequent to the original filing date, and does not modify or update in any way disclosures made in the original Form 10-K.
