Norton Rose Fulbright advises Tamboran on significant US-Australia capital raise of up to A$180 million to accelerate its development of the Beetaloo Basin in Australia's Northern Territory

Global law firm Norton Rose Fulbright has advised Tamboran Resources Corporation (NYSE: TBN, ASX:TBN) (Tamboran) on a significant cross-border capital raising of up to A$180 million, comprising an offer of CHESS Depositary Interests (CDIs) under an Australian security purchase plan, a US public offering of common stock and a subsequent Private Investment in Public Equity (PIPE), positioning it to maintain momentum in the Beetaloo Basin.

Australian retail shareholders will have the opportunity to participate through Tamboran's upcoming security purchase plan which follows the company's successful public offering and subsequent PIPE. The raise attracted participation from leading US energy players including Liberty Energy, which supported the PIPE.

Tamboran is a growth-driven independent natural gas exploration and production company focused on an integrated approach to the commercial development of natural gas resources on the Beetaloo Basin located in Northern Territory, Australia. Through its subsidiaries Tamboran holds approximately 1.9 million net prospective acres and is the largest acreage holder in the Beetaloo Basin.

The Norton Rose Fulbright team advised on the Australian aspects of this high profile and complex deal, including navigating the various structural considerations for ensuring compliance of the capital raising with the dual listing rules of the ASX and the relationship with the NYSE.

Tamboran chairman and interim CEO, Richard Stoneburner, commented:
