SEC seeks public comments on draft amendments to the Securities and Exchange Act to further strengthen capital market supervision

Bangkok, 15 September 2026 - The Securities and Exchange Commission (SEC) is seeking public comments on the draft amendments to the Securities and Exchange Act B.E. 2535 (1992) (SEA), with the aim of further strengthening capital market supervision.<_o3a_p>

The proposed amendments to the SEA are intended to further enhance the effectiveness of capital market supervision, ensure that investors receive complete material information for making investment decisions, and establish legal measures to temporarily suspend transactions that may cause damage, thereby strengthening overall confidence in the Thai capital market. The key proposed amendments are as follows:<_o3a_p>

1. Prescribing investor duties in relation to short selling, and prescribing the duties of foreign service providers to report information on the ultimate beneficial owners of securities (adding Sections 194/1, 194/2, 194/3 and 194/4);<_o3a_p>

2. Prescribing the duty to report the creation of significant encumbrances over securities (adding Division 3: Report on Encumbrances over Securities, Sections 259/1 and 259/2 of Chapter 8: Unfair Securities Trading Practices and the Acquisition of Securities for Business Take-overs);<_o3a_p>

3. Prescribing measures to temporarily suspend transactions in cases where the transactions may involve taking advantage of, or causing serious damage to, investors or the public interest (adding Section 266/4);<_o3a_p>

4. Clarifying the revocation of seizure or freezing orders against the assets of juristic persons, and authorizing other persons to conduct examinations on behalf of the SEC (adding the fifth paragraph of Section 267);<_o3a_p>

5. Amending the relevant penalty provisions (adding Sections 291/1, 291/2, 291/3 and 299/4, and amending Sections 298 and the first paragraph of Section 317).<_o3a_p>
