Lowenstein Represents Tolerance Bio in $560M Licensing Agreement of Tanabe Pharma’s Anti-IL-33 Monoclonal Antibody

Lowenstein Sandler LLP represented Tolerance Bio, a biotechnology company focused on preserving, regenerating, and modulating thymic function to address immune diseases and extend healthspan, in its exclusive license agreement across all indications with Tanabe Pharma Corporation for worldwide development rights and commercialization rights outside Japan of TLB-33, a clinical-stage anti-IL-33 monoclonal antibody. Tanabe Pharma retains commercialization rights in Japan. The license agreement includes potential development and sales milestone payments of up to $560 million, as well as equity consideration and tiered royalties on net sales.

Tolerance intends to build the leading therapeutic platform that targets thymic biology, using TLB-33 to expand the company's development across therapeutic modalities focused on thymus biology, including biologics, mRNA, and cell therapies.

The TLB-33 licensing agreement comes shortly after Tolerance's licensing of IL-7 Fusion Protein, where Lowenstein Sandler also served as counsel to the company.
