Norton Rose Fulbright advises Optimi Health on US$15 million IPO and Nasdaq listing

A cross-border team from Norton Rose Fulbright represented Optimi Health Corp. (Optimi), a commercial-stage psychedelics pharmaceutical company, on its upsized and oversubscribed US$15 million initial public offering and concurrent listing on the Nasdaq Capital Market. Optimi's common shares began trading on Nasdaq under the ticker symbol "OPTH" on May 20, 2026.

The offering was conducted pursuant to a registration statement filed with the US Securities and Exchange Commission, alongside a Canadian offering completed under the listed issuer financing exemption. The transaction included the issuance of common shares to investors in both the United States and Canada.

Optimi is focused on the manufacturing and distribution of finished-dose psilocybin and MDMA capsules at a Health Canada Drug Establishment-licensed facility in British Columbia. Active supply operations began under the Australian Authorized Prescriber Scheme in 2024. Products are dispensed to patients through authorized clinics for post-traumatic stress disorder and treatment-resistant depression. Proceeds from the offering will be used to support the scaling of the company's production and distribution capabilities, and its expansion into the United States and additional markets.

Norton Rose Fulbright's team was led by Kevin Friedmann (Chicago) and Kristopher Miks (Vancouver), and included Mark Faccenda (Washington, DC), Siyuan An (Los Angeles), Yi-Ping Chang (Chicago), Alain Verrier, Aamir Chherawala and Melissa Perry (Vancouver).
