The undersigned business development company hereby notifies the Securities and Exchange Commission that it withdraws its election to be subject to sections 55 through 65 of the Investment Company Act of 1940 (the "Act"), pursuant to the provisions of section 54(c) of the Act, and in connection with such notice of withdrawal of election submits the following information:

The Company is withdrawing its election under section 54(a) of the Act based on the following basis:
The Company will not be distributing any assets to its securities holders because it currently has liabilities in excess of assets. It is currently in the process of winding up its affairs. Furthermore, the liquidation of the company is not part of a merger.
Information contained in the Company's Form 8-K, filed on August 18, 2026, is hereby incorporated by reference.
