Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 2, 2025, Atif Rafiq, a member of the Board of Directors (the "Board") of Flutter Entertainment plc (the "Company"), notified the Board of his decision to not stand for re-election atthe end of his current term at the Company's 2025 Annual General Meeting of Shareholders scheduled to be held on June 5, 2025, due to Mr. Rafiq's other time commitments. Mr. Rafiq's decision did not result from any disagreement with the Company, its management or the Board on any matter related to the Company's operations, policies or practices. The Board and the Company wish to thank Mr. Rafiq for his dedicated service on the Board.
