Norton Rose Fulbright advises Partners Group and PowerTransitions on acquisition of five power plants

Global law firm Norton Rose Fulbright represented Partners Group and its portfolio company, PowerTransitions, an independent power producer focused on redeveloping legacy power and industrial facilities, on its agreement to acquire a portfolio of five power plants and related pipeline infrastructure from affiliates of Alliance Energy Group (Alliance). The transaction was announced on April 21, 2026.

The portfolio includes the Batavia, Hillburn, Massena, Shoemaker and Sterling thermal power generation plants, which collectively produce 323 MW of power and serve multiple counties across New York. The transaction will increase the power generation capacity of PowerTransitions to approximately 550 MW of power generation capacity across seven power stations throughout the country.

With a broad geographic footprint, the portfolio offers significant opportunities for co-locating new power generation plants, energy storage systems and powered land sites on established energy campuses. Each site benefits from existing grid connections that can be enhanced to meet growing demand.

"This acquisition reflects the growing interest in redeveloping existing energy assets to meet evolving infrastructure needs," said Douglas Fried, who co-led Norton Rose Fulbright's representation. "We were pleased to assist PowerTransitions on its entry into the New York market and on a transaction that advances its long-term growth strategy."

Norton Rose Fulbright's deal team was led by Douglas Fried (New York) and Sameer Ghaznavi (Chicago) and included Birdie Adler (Austin), Christine Fernandez Owen, Jared Kaplan (Chicago), Daniel Nugent (Denver), Kimberly Franssen (Houston), Scott Burton (Los Angeles), Shaileen Berlas (New York), Jake Falk, Bob Shapiro, Conrad Bolston, Chris Psihoules, Debra Ann Palmer and Tian Bai (Washington, DC).

The firm's projects practice is one of the largest of its kind, with more than 350 lawyers across 50 offices acting on some of the most innovative, complex and challenging projects in the world. Norton Rose Fulbright was ranked as a top four global project finance legal advisor by volume for 2025, with deals valued at more than US$90 billion in aggregate (IJGlobal Q1, 2026).
