Item 1.01 Entry into a Material Definitive Agreement.

On June 17, 2025, Farmers and Merchants Bancshares, Inc. (the "Company") and Equiniti Trust Company, LLC ("EQ") entered into a First Amendment to Rights Agreement (the "Amendment"), which amended the Rights Agreement, dated as of July 30, 2024, by and between the Company and EQ (the "Rights Agreement"). The Amendment extends the final expiration date of the rights issued under the Rights Agreement to July 29, 2026 unless further extended or accelerated as provided in the Rights Agreement.

The Amendment is filed as Exhibit 4.2 to this report and is incorporated herein by reference. The description of the Amendment set forth above does not purport to be complete and is qualified in its entirety by reference to Exhibit 4.2.
