Amendments to Bylaws (Form 8-K)
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On December 19, 2025, the board of directors (the "Board") of Liberty Live Holdings, Inc. (the "Company") approved an amendment and restatement of the Company's bylaws (the "Amended Bylaws"), which became effective immediately. In addition to certain clarifying changes, the Amended Bylaws provide that the Chairman of the Board shall be an executive officer of the Company. As a result, Robert R. Bennett, who was previously designated as Chairman of the Board, is now Executive Chairman of the Company.
Reference is hereby made to the full text of the Amended Bylaws, which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated by reference herein.
