Dentons Cárdenas & Cárdenas advises Falcon TopCo S.A. on its acquisition by Alicorp

Dentons Cárdenas & Cárdenas provided Colombian legal advice to Falcon TopCo S.A. in connection with its acquisition by Alicorp Holdco España, S.L.U., a subsidiary of Peru-based Alicorp S.A.A. The transaction involved the acquisition of 100% of the shares of Falcon TopCo S.A. and, indirectly, Flora Food Group's operations in Guatemala, Panama, the Dominican Republic, Colombia, Ecuador, Peru and Chile.
The US$150.5 million transaction includes 19 transferred or exclusively licensed brands, commercial relationships across approximately 30 territories in Latin America and the Caribbean, and a production facility located in Cali, Colombia.
The cross-border transaction strengthens Alicorp S.A.A.'s regional presence by integrating these assets and operations into its Latin American and Caribbean platform.
