It is a condition to the issuance of the notes that the Class A-1 Notes, the Class A-2a Notes, the Class A-2b Notes, the Class A-3 Notes and the Class A-4 Notes receive at least the indicated ratings from Moody's Investors Service, Inc. ("Moody's") and S&P Global Ratings ("S&P" and, together with Moody's, the "rating agencies") listed below.
