This Prospectus Supplement amends and supplements information contained in that certain Prospectus, dated October 8, 2024 (the "Prospectus"), relating to the resale from time to time of up to 30,301,058 ordinary shares, par value $0.0001 ("Ordinary Shares"), of Captivision Inc. by New Circle Principal Investments LLC, a Delaware limited liability company ("New Circle") and Cohen and Company Capital Markets, a division of J.V.B. Financial Group, LLC ("CCM"). The Ordinary Shares included in the Prospectus consist of Ordinary Shares that we have issued or that we may, in our discretion, elect to issue and sell to New Circle from time to time after the date of the Prospectus pursuant to a share purchase agreement we entered into with New Circle on June 12, 2024 (the "Purchase Agreement"), in which New Circle has committed to purchase from us, at our discretion, up to $30,000,000 of Ordinary Shares, subject to the terms and conditions specified in the Purchase Agreement. In addition, the shares included in the Prospectus include 151,058 Ordinary Shares that we issued to New Circle as consideration for its commitment to purchase our Ordinary Shares pursuant to the Purchase Agreement (the "Commitment Shares") and 150,000 Ordinary Shares that we issued to CCM in consideration for its role as placement agent in connection with the financing. The Company will not receive any proceeds from the sale of Ordinary Shares by the Selling Holders.

This Prospectus Supplement is qualified by reference to the Prospectus, except to the extent that the information provided by this Prospectus Supplement supersedes information contained in the Prospectus. This Prospectus Supplement is being filed to update, amend and supplement the information included in the Prospectus with the information contained in our Form 6-K filed with the Securities and Exchange Commission on January 23, 2025, which is set forth below.

Notice of Non-Compliance with Nasdaq Listing Standards
On January 22, 2025, Captivision Inc. (the "Company") received a written notice (the "Notice") from the Listing Qualifications department of The Nasdaq Stock Market LLC ("Nasdaq") stating that the Company was not in compliance with the requirement to maintain a minimum closing bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5450(a)(1) (the "Bid Price Requirement"), because the closing bid price of the Company's ordinary shares, par value $0.0001 (the "Ordinary Shares"), was below $1.00 per share for 30 consecutive business days. The Notice is only a notification of deficiency, not of imminent delisting, and has no current effect on the listing or trading of the Company's securities on the Nasdaq Global Market. The Notice is in addition to the previously disclosed written notice received on December 3, 2024, notifying the Company that it was not in compliance with the requirement to maintain a minimum Market Value of Listed Securities of $50 million, as set forth in Nasdaq Listing Rule 5450(b)(2)(A).
In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has 180 calendar days from the date of the Notice, or until July 21, 2025 (the "Compliance Date"), to regain compliance with the Bid Price Requirement. During this period, the Ordinary Shares will continue to trade on the Nasdaq Global Market. If at any time before the Compliance Date, the bid price of the Ordinary Shares closes at or above $1.00 per share for a minimum of ten consecutive business days, Nasdaq will provide written confirmation that the Company has achieved compliance with the Bid Price Requirement and the matter will be closed.
In the event the Company does not regain compliance by the Compliance Date, the Company may be eligible for an additional 180 calendar day period to regain compliance. To qualify, the Company would be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, except for the Bid Price Requirement, and transfer its listing to the Nasdaq Capital Market. The Company would also be required to provide written notice of its intent to cure the deficiency during this second compliance period.
If the Company does not regain compliance with the Bid Price Requirement within the compliance period granted by Nasdaq, including any extensions, Nasdaq will provide written notification to the Company that its Ordinary Shares will be subject to delisting. In the event of such notification, the Nasdaq rules permit the Company an opportunity to appeal the delisting determination to a Nasdaq Hearings Panel. In such event, there can be no assurance that such an appeal would be successful.
The Company intends to actively monitor the closing bid price of its Ordinary Shares and will evaluate available options to regain compliance with the Bid Price Requirement, including, but not limited to implementing a reverse stock split of the Ordinary Shares, if necessary. However, there can be no assurance that the Company will be able to regain compliance with the Bid Price Requirement or maintain compliance with the Nasdaq listing standards.
