Item 8.01 Other Events.

On March 27, 2026, Aditxt, Inc. (the "Company") increased the maximum aggregate offering price of the shares of the Company's common stock, par value $0.001 per share (the "Common Stock") issuable under the At The Market Offering Agreement (the "Sales Agreement") with H.C. Wainwright & Co., dated October 25, 2024, by an additional $36,800,000 or up to $53,398,964(the "ATM Offering Size Increase"), not including the approximately $21,257,000 of shares of common stock sold to date under the Sales Agreement, and filed a prospectus supplement (the "Current Prospectus Supplement"). A copy of the legal opinion as to the legality of the $36,800,000 shares of Common Stock issuable under the Sales Agreement and covered by the Current Prospectus Supplement is filed as Exhibit 5.1 attached hereto.
