(c) On December 18, 2025, Mr. Michael C. Wise, 56, was promoted to the position of Senior Vice President and Chief Operating Officer, effective January 1, 2026. Mr. Wise joined Old Dominion Electric Cooperative in 2012 and has held various power supply positions, including Director of Operations from 2017 to 2021, Senior Director of Operations from 2021 to 2022, Vice President of Operations and Asset Management from 2022 to 2024, and Senior Vice President of Power Supply from October 2024 to December 2025.

In connection with the promotion, we entered into a new employment letter with Mr. Wise and his annual salary will be $547,282 effective January 1, 2026. Other terms and conditions of his employment remain unchanged.
