EXPLANATORY NOTE - DEREGISTRATION OF SHARES

These Post-Effective Amendments to the Registration Statements on Form S-8 (the "Post-Effective Amendments") filed by Electronic Arts Inc., a Delaware corporation (the "Registrant"), relate to the following Registration Statements on Form S-8 (collectively, the "Registration Statements") filed by the Registrant with the Securities and Exchange Commission (the "Commission"):

On August 4, 2026, pursuant to the Agreement and Plan of Merger, dated as of September 28, 2025 (the "Merger Agreement"), by and among the Registrant, Oak-Eagle AcquireCo, Inc., a Delaware corporation ("Parent"), and Oak-Eagle MergerCo, Inc., a Delaware corporation and a wholly-owned subsidiary of Parent ("Merger Sub"), Merger Sub merged with and into the Registrant (the "Merger"), with the Registrant surviving the Merger as a wholly-owned subsidiary of Parent.

As a result of the completion of the transactions contemplated by the Merger Agreement, including the Merger, the Registrant has terminated any and all offerings of its securities pursuant to existing registration statements, including the Registration Statements. In accordance with the undertaking made by the Registrant in the Registration Statements to remove from registration, by means of a post-effective amendment, any of the securities that had been registered for issuance but remain unsold at the termination of the offerings, the Registrant hereby removes from registration any and all securities of the Registrant registered but unsold under the Registration Statements as of the date hereof. The Registration Statements are hereby amended, as appropriate, to reflect the deregistration of such securities, and the Registrant hereby terminates the effectiveness of the Registration Statements.
