Willkie Advises Carrix on $5.5 Billion Bond and Loan Refinancing Transactions, Including Debut Rule 144A HY Notes Offering

Willkie advised Carrix, the largest marine and intermodal rail terminal operator in North America, and among the world's largest privately held independent terminal operators, on its $5.5 billion refinancing transactions.
The transactions included an offering of $2.5 billion aggregate principal amount of 6.125% senior secured notes due 2033, Carrix's debut Rule 144A high-yield bond issuance, and new senior secured credit facilities, consisting of a $2.5 billion term loan b facility, a $500 million delayed draw facility and a $1.0 billion revolving credit facility. The transactions closed on July 27, 2026.
The proceeds were used to repay all outstanding indebtedness under the company's existing private placement notes and credit facilities, provide cash for ongoing growth projects and fund a distribution to its direct and indirect shareholders.
The Willkie corporate and capital markets team was led by partners John Ablan, David Adler and Russel Leaf and included associates Marissa Green, Brenna O'Connor and Emma Danziger. The Willkie finance team was led by partners Joshua Deason and Charlotta Chung and included counsel Nathan Wood and associates Caitlin Cosby, Montgomery Nelson, Nadeen Kattan and Kelly Wester.
