APPROVAL GRANTED FOR THE MERGER INVOLVING GAMBLING, LOTTERY, AND BETTING COMPANIES

The Czech company Fortuna Entertainment Group will be able to acquire 70% of the shares in Top Sport and Top Loto, and, together with Confluence Investment and Alda Holding, assume joint control of these companies. The Competition Council has approved the transaction.

The merger notification was received on 1 June 2026. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.

Fortuna Entertainment Group, which operates in the Czech Republic, Slovakia, Poland, Croatia, and Romania, together with its related companies, organizes lotteries and gambling activities, provides healthcare and financial services, engages in pharmaceutical trade, real estate development, and media activities. In Lithuania, the company and its related undertakings import and distribute pharmaceuticals and other medical products.

Confluence Investment, directly and through related companies, conducts gambling and betting activities, leases real estate, provides commercial loans, trades in sports equipment, and carries out other business activities in Lithuania.

Alda Holding, directly and through related companies in Lithuania, provides commercial loans, develops and leases residential real estate, and supplies food products.

Top Sport conducts gambling and betting operations. Top Loto, a company established last year, plans to organize lottery activities.

The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 2 million.
