EDPR completes sale of operations in Brazil to EDP

Madrid, October 28th 2026: Following the information disclosed to the market on May 19th 2026, EDP Renewables, S.A. ("EDPR") informs on the conclusion of the agreement for the sale of 100% of its subsidiary EDP Renováveis Brasil, S.A. ("EDPR Brasil") to EDP - Energias do Brasil S.A. ("EDP Brasil"), a fully owned subsidiary of EDPR's controlling shareholder EDP, S.A. ("EDP").

The final price of the transaction is fixed at a total of €990 million (R$5.6 billion), representing a positive price adjustment caused by capital contributions of EDPR in EDPR Brasil between the signing and closing of the sale and purchase agreement. The implied enterprise value was of c.€1.6 billion.

This transaction enables EDPR to reinforce its focus on A-rated growth markets for Wind, Solar and BESS segments, resulting in improved levels of financial leverage, which supports greater flexibility on the execution plan for investments, asset rotations and disposals.

This information is disclosed pursuant to the terms and for the purposes of the article 17 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council and in accordance with the legal framework applicable to related-party transactions set out in the Spanish legislation.
