EXPLANATORY NOTE

Reliance Global Group, Inc. (the "Company") is filing this Amendment No. 1 on Form 8-K/A (this "Amendment") to amend Item 2.01 of its Current Report on Form 8-K filed with the Securities and Exchange Commission on September 30, 2026 (the "Original Report") to correct the date on which the closing of the Transaction was completed. No other change is made to the Original Report, and this Amendment does not otherwise modify or update the disclosures in, or the exhibits to, the Original Report. Capitalized terms used but not defined in this Amendment have the meanings given to them in the Original Report.

Item 2.01 Completion of Acquisition or Disposition of Assets.

Item 2.01 of the Original Report is hereby amended and restated in its entirety as follows:

The information set forth in Item 1.01 of the Original Report is incorporated by reference into this Item 2.01 The Closing was completed on September 24, 2026,upon the Buyer's delivery of the cash portion of the closing date payment and the Note pursuant to the Letter Agreement.
