Explanatory Note: Effective as of July 21, 2025, pursuant to the Agreement and Plan of Merger, dated May 5, 2025, by and among FARO Technologies, Inc., a Florida corporation ("FARO"), AMETEK, Inc., a Delaware corporation ("Parent"), and AMETEK TP, Inc., a Delaware corporation and a wholly owned subsidiary of Parent ("Merger Sub"), Merger Sub merged with and into FARO, with FARO continuing as the surviving corporation and a direct, wholly owned subsidiary of Parent.
