Willkie represented Praemia REIM, a leading European real estate asset manager and shareholder of Société Foncière Lyonnaise (SFL) (listed on Euronext Paris), in connection with the cross-border merger of SFL into Inmobiliaria Colonial (listed on the Madrid and Barcelona Stock Exchanges).

The shareholders of both SFL and Colonial have approved the merger and it is expected to close in the second half of 2025.

This transaction constitutes one of the first cross-border mergers between listed companies since the transposition of Directive (EU) 2019/2121 of November 27, 2019, on cross-border conversions, mergers, and demergers.

Société Foncière Lyonnaise, France's oldest real estate company, is a leader in the prime commercial property market in Paris.

Inmobiliaria Colonial is the leading platform in the prime commercial real estate market in Europe, with a presence in the main business areas of Barcelona, Madrid and Paris.

Praemia REIM is a leading European real estate asset manager with over €36 billion in assets under management and a portfolio of more than 1,600 buildings spanning 11 countries.
