Restoring the Kennebec River: The Nature Conservancy to Acquire Four Dams from Brookfield Renewable

The Nature Conservancy (TNC) and affiliates of Brookfield Renewable Partners (Brookfield) have signed a landmark purchase and sale agreement for four hydroelectric dams-Lockwood, Hydro-Kennebec, Shawmut, and Weston-on Maine's lower Kennebec River. This multi-year negotiation marks a once-in-a-generation opportunity to restore free-flowing conditions to the Kennebec River while supporting the region's communities and economy.

Orrick advised TNC.

THE COMPANIES

The Nature Conservancy is a global conservation organization dedicated to protecting lands and waters for people and nature, with impactful projects in over 80 countries and territories.

Brookfield Renewable Partners is a leading global owner, operator, and investor in renewable power and transition assets, committed to advancing clean energy solutions and supporting Maine's energy goals.

THE IMPACT

This agreement sets the stage for restoring the Kennebec River's ecological health, reconnecting habitats, and supporting wildlife-including wild Atlantic salmon. The collaborative approach balances river restoration with the economic needs of the region, including the Somerset Mill and riverside municipalities.

A new nonprofit, the Kennebec River Restoration Trust, will oversee dam removal and river restoration, while Brookfield continues investing in Maine's renewable energy future.

"The vision of The Nature Conservancy and our partners is for a free-flowing river on the lower Kennebec, accomplished in a way that both restores the river's ecological health and strengthens the region's economic vitality," said Kate Dempsey, State Director, The Nature Conservancy in Maine.

The agreement was signed on September 15, 2025.

THE TEAM

Orrick's Daniel Mathews and Adam Kowis led the team that advised TNC. The team also included Grace Lentz and Cacique Rich-Martinez.
