NOTICE OF PUBLIC HEARING
WITH RESPECT TO THE ISSUANCE BY THE OHIO AIR QUALITY DEVELOPMENT AUTHORITY OF ITS NOT TO EXCEED $47,000,000 STATE OF OHIO EXEMPT FACILITIES REVENUE BONDS (RUMPKE PROJECT), SERIES 2025A

The Ohio Air Quality Development Authority (the "Issuer") will hold a public hearing at 10:00 A.M. on July 16, 2025 at the public meeting room on the ground floor at 175 South Third Street, Columbus, Ohio 43215, pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), concerning the issuance by the Issuer of its State of Ohio Exempt Facilities Revenue Bonds (Rumpke Project), Series 2025A (the "Bonds"), in a principal amount not to exceed $47,000,000, in one or more series, pursuant to Section 13 of Article VIII of the Ohio Constitution and Chapter 3706 of the Ohio Revised Code.

The proceeds of the Bonds will be used for the purpose of (1) financing the acquisition, construction, installation and equipping of solid waste disposal facilities, as defined in Section 142(a)(6) of the Code and as further described herein, in the following amounts at the following locations (a) a stated principal amount not to exceed $17,500,000 for a transfer station located at 3580 South Dayton-Lakeview Road, New Carlisle, Clark County, Ohio 45344, and the initial legal owner of which will be Rumpke of Ohio, Inc., an Ohio corporation ("Rumpke of Ohio"), (b) a stated principal amount not to exceed $17,500,000 for a transfer station located at 5180 Champions Way, Milford, Clermont County, Ohio 45150, and the initial legal owner of which will be Rumpke Waste, Inc., an Ohio corporation ("Rumpke Waste") and (c) a stated principal amount not to exceed $12,000,000 for a (i) 28,500 square foot maintenance garage located at 3500 Struble Road, Cincinnati, Hamilton County, Ohio 45251 (the "Struble Road Location") to be used to service heavy machinery for the landfill located at Struble Road Location (the "Landfill"), and (ii) wastewater collection facility located at the Struble Road Location to perform tests on the Landfill's leachate and to dispose of wastewater from the Landfill (collectively, the "Project"), and the initial legal owner of both will be Rumpke Sanitary Landfill, Inc., an Ohio corporation ("Rumpke Sanitary Landfill") and (2) paying certain costs of issuing the Bonds. Rumpke of Ohio, Rumpke Waste and Rumpke Sanitary Landfill are each wholly owned subsidiaries of Rumpke Consolidated Companies, Inc., an Ohio corporation.

THE BONDS SHALL NOT REPRESENT OR CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OR THE TAXING POWER OF THE ISSUER; THE STATE OF OHIO; OR ANY POLITICAL SUBDIVISION OF THE STATE OF OHIO. RATHER, THE BONDS SHALL CONSTITUTE A SPECIAL LIMITED OBLIGATION PAYABLE SOLELY FROM THE PLEDGED REVENUES DESCRIBED IN THE RELATED INDENTURE OF TRUST FOR THE BONDS.

Interested persons are invited to attend this public hearing and will be given an opportunity to express their views on the nature of the Project or the issuance of the Bonds or may submit their comments in writing. Any written submissions should be sent to the Issuer at 175 South 3rd Street, Suite 1050, Columbus, Ohio 43215, Attn: Christina O'Keeffe, Executive Director. Written submissions should be mailed in sufficient time to be received on or before the close of business at 5 P.M. local time on July 15, 2025.
