Norton Rose Fulbright advises MDA Space Ltd. on its acquisition of the controlling stake in Collecte Localisation Satellites from Compagnie Nationale à Portefeuille

Global law firm Norton Rose Fulbright has advised MDA Space Ltd., an international space mission partner, on its acquisition of the controlling stake in Collecte Localisation Satellites (CLS) from Compagnie Nationale à Portefeuille (CNP).

Upon completion of the transaction, MDA Space Ltd. will acquire approximately 70% interest in CLS from CNP and other shareholders of CLS' parent company, while the Centre national d'études spatiales ("CNES"), the French space agency, will retain an approximately 30% interest in CLS.

The transaction is expected to be completed by the end of 2026 or early 2027, after obtaining all necessary regulatory approvals.

A cross-border team from Norton Rose Fulbright's Paris, Frankfurt and Toronto offices advised MDA Space Ltd.

The Paris team was led by corporate partner Jean-Claude Rivalland, assisted by counsel Louis Fridman and associate Mathilde Juyol.

The wider team included partner Nadège Martin, counsel Geoffroy Coulouvrat and associate Laura Helloco, who provided guidance on technology law; partner Laure Joncour and counsel Marie Thérèse Eugenio who advised on employment law; partner and EMEA head of tax Antoine Colonna d'Istria together with associates Alexandra Bloch Manikow and Jeanne Robart on tax aspects; partner Isabelle Augais and associate Marjorie Bodino on real estate aspects and partner Marta Giner Asins with associates Constance Chevreste et Géraldine Gaulard who advised on French competition and FDI aspects.

The Frankfurt team was made up of partner Jens Steger and senior associate Sven Klüppel who advised on all aspects of antitrust and FDI, except French ones.

The Toronto team was led by corporate partner Bruce Sheiner, assisted by Canadian chair Walied Soliman, senior associate Joe McDonald, associates Lea De Santis, Aseera Jivraj, Antoine Killin and Patrick Smith. The broader team also included technology senior partner Domenic Presta, technology partner Jeffrey Kang and associates Isabel Rawlings and Tiana Corovic, real estate partner Joshua Sprague with associate Kiera Stel and employment partner Joseph Cohen-Lyons.
