DELFI OWNER GRANTED PERMISSION TO ACQUIRE COMPANIES MANAGING OUTDOOR ADVERTISING SPACE

The Competition Council has granted permission to Ekspress Grupp to acquire, indirectly via LT Screens, 100% of the shares in LT Advert and to take sole control of it, as well as to acquire sole control of the companies Pakelk akis and Dizarto reklama through LT Advert.

The merger notification was received on 6 August 2026. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.

The Estonian media group Ekspress Grupp publishes magazines, newspapers and books, and operates in the online media sector. Delfi, a company associated with this group, operates the news portal delfi.lt, sells advertising space and provides content marketing services. Other related companies help websites generate revenue from online display advertising space, provide news agency services and manage a network of YouTube channels, as well as engaging in debt registration and recovery, account assessment, and offer loan brokerage and debt consolidation services.

The companies LT Advert, Pakelk akis and Dizarto reklama rent out outdoor visual advertising space of various sizes on digital screens and on buildings throughout Lithuania.

The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 2 million.
