Foreclosure of Properties Held by Series of Landa App LLC

On July 1, 2025, the properties held by the following Series of Landa App LLC were subject to foreclosure sales:

The foreclosure proceedings were initiated following the maturity of a bridge loan secured by the above mentioned Series. These Series were unable to fully repay the matured loan upon its due date.

As previously disclosed in our Form 1-U filed on June 2, 2025, the Manager had executed purchase and sale agreements ("PSAs") with a third-party buyer, Roots, in an effort to sell the properties prior to the loan maturity. These PSAs were intended to facilitate a timely sale and avoid foreclosure. The Manager also negotiated and funded a 60-day extension with the lender to provide additional time for the buyer to close.

Despite these efforts, the buyer unilaterally terminated the 10 PSAs a day before the scheduled foreclosures, while extended the rest for 7 days only, leaving insufficient time to execute an alternative transaction or secure additional financing. Consequently, the lender proceeded with the foreclosure sales on July 1, 2025.

As disclosed in the Risk Factors section of our Offering Circular: "Incurring mortgage debt increases the risk of loss, since defaults or non-performance under indebtedness secured by a Property may result in lenders initiating foreclosure actions. In such cases, a Series could lose the Property securing the loan." The foreclosures described herein are limited to the affected Series and do not impact the assets or operations of other Series of Landa App LLC.
