(1)	Consists of (i) 2,575,061 shares of Common Stock, par value $0.01 per share ("Common Stock") beneficially owned by Yunqi Path Capital Master Fund, a Cayman Islands domiciled fund ("Yunqi Master Fund") and (ii) 682,069 shares of Common Stock beneficially owned by Yunqi China Special Investment A, a company incorporated in the Cayman Islands ("Yunqi A"). As the sole owner of Yunqi Capital Cayman Limited, a company incorporated in the Cayman Islands, the controller of Yunqi Master Fund, and as the Chief Investment Officer of Yunqi Capital Limited, the investment advisor of Yunqi Master Fund and Yunqi A, Mr. Wang may be deemed to beneficially own the 3,257,130 shares of Common Stock beneficially owned in the aggregate by Yunqi Master Fund and Yunqi A. Mr. Wang disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
