Item 8.01 Other Events.

On October 25, 2024, BM Technologies, Inc., a Delaware corporation (the "Company") and First Carolina Bank, a North Carolina state-chartered bank ("Parent"), issued a joint press release announcing the execution of an Agreement and Plan of Merger (the "Merger Agreement") among the Company, Parent and Double Eagle Acquisition Corp, Inc. ("Merger Sub"), providing for the acquisition of the Company by Parent pursuant to a merger of Merger Sub with and into the Company with the Company continuing as the surviving corporation and a wholly owned subsidiary of Parent (the "Merger").

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. The terms of the Merger Agreement will be described in a subsequent filing on Form 8-K.
