Willkie advised Karman Holdings Inc. (NYSE: KRMN), a leader in the rapid design, development and production of next-generation system solutions for launch vehicle, satellite, spacecraft, missile defense, hypersonic and UAS customers, and a certain selling stockholder, in connection with an underwritten public offering of 21,000,000 shares of Karman's common stock by certain of Karman's existing stockholders.
In addition, a certain selling stockholder granted the underwriters a 30-day option to purchase up to an additional 3,150,000 shares of common stock, which was fully exercised, bringing the total value of the offering to approximately $1.2 billion.
On July 24, 2025, Karman announced the pricing of the underwritten public offering of its common stock at a public offering price of $49.00 per share.
Willkie previously represented Karman in numerous transactions, including its recent acquisitions of Industrial Solid Propulsions and Metal Technology Inc., as well its initial public offering earlier this year.
The Willkie team was led by partners Brandon McCoy, Sean Ewen and Hugh McLaughlin, and included associates Katie Lovejoy, Omar Shariff, Ari Fryer, Bilal Sheriff and Katherine Sears.
