Ostrava, North Moravia, June 19 (CTK) - The Regional Court in Ostrava ordered a review of lorry manufacturer Tatra Trucks' 2023 related-party report by an independent expert, and the High Court in Olomouc upheld that decision in a final ruling, minority shareholder Promet Group told CTK in a press release today.
The court has also ordered a review of the 2024 related-party report, though the ruling is not yet final.
"The court's ruling confirms that the loss of confidence in Tatra Trucks' management, which the Promet Group announced back in July 2025, was entirely justified," said Promet spokesman Pavel Barvik. The motion to review the report was filed with the court by Promet Tools, a company within the Promet Group.
The related-party report serves as a mechanism for protecting creditors and shareholders, and the court's ruling therefore raises doubts as to whether the report is fulfilling its intended purpose, according to Promet.
Tatra Trucks manufactures both mass-produced lorries and custom-built specialty vehicles. The CSG group and Promet Group have been its shareholders since 2013, when they acquired Tatra at auction. CSG owns 65 percent, and Promet owns 35 percent. Following the change in ownership, the company underwent a successful restructuring.
Michal Strnad later took over the CSG Group from his father Jaroslav Strnad, while Rene Matera, the original owner of Promet Group, passed away. Two years ago, disputes broke out among the shareholders, and they continue to this day.
"We have long been drawing attention to the situation in which Tatra Trucks' management is restricting the rights of our Promet Group as a qualified shareholder. It is failing to provide us with the information required by law and is acting in the interests of the other shareholder, the CSG Group. By doing so, it is harming both the rights of the Promet Group and, very likely, Tatra Trucks itself," said Promet Group CEO Denisa Materova.
Due to a decision by the majority shareholder, Promet also has no representatives on Tatra's governing bodies. "As a result, we have lost control over the company's management. Under these circumstances, we cannot support major strategic decisions, including a significant increase in the company's share capital," Materova said.
