NOTICE OF PUBLIC HEARING
WITH RESPECT TO THE ISSUANCE BY THE OHIO AIR QUALITY DEVELOPMENT AUTHORITY OF ITS NOT TO EXCEED $135,000,000 State of Ohio AIR QUALITY Revenue Bonds (Ohio Valley Electric Corporation Project)

The Ohio Air Quality Development Authority (the "Issuer") will hold a public hearing at 10:00 A.M. on November 12, 2025 in the public meeting room on the ground floor at 175 South Third Street, Columbus, Ohio 43215, pursuant to Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), concerning the issuance by the Issuer of its State of Ohio Air Quality Revenue Bonds (Ohio Valley Electric Corporation Project), in a principal amount not to exceed $135,000,000 (the "Bonds") in one or more series pursuant to a plan for financing the Project (defined below), pursuant to Section 13 of Article VIII of the Ohio Constitution and Chapter 3706 of the Ohio Revised Code.

The proceeds of the Bonds will be used for the purpose of (1) financing the acquisition, improvement, construction, and equipping of the facilities of Ohio Valley Electric Corporation (the "Company") at its Kyger Creek Station electric generation facility, located at 5758 State Route 7 N., Cheshire, OH 45620 (the "Plant"), relating to "sewage facilities" and "solid waste disposal facilities" (as each term is defined in sections 142(a)(5) and 142(a)(6) of the Code, respectively), as well as related wastewater treatment facilities and other functionally related and subordinate facilities thereto (collectively, the "Project"), including through the refunding of the Issuer's $100,000,000 aggregate principal amount of State of Ohio Air Quality Revenue Bonds (Ohio Valley Electric Corporation Project), Series 2009A, Series 2009B, Series 2009C, and Series 2009D; and (2) paying certain costs of issuing the Bonds.

The facilities constituting the Project will include, but will not be limited to, the Flue Gas Desulfurization (FGD) scrubber system at the Plant (including bioreactor facilities to address the wastewater generated by the FGD), facilities relating to coal combustion residual at the Plant, facilities relating to cooling water intake (including fish return sluices), facilities relating to the Slag Pond and Fly Ash Ponds at the Plant, and other facilities and assets that constitute or relate to sewage facilities or solid waste disposal facilities (as defined by the Code) at the Plant, including facilities involved in the Company's regular program of capital expenditures for such purposes.

THE BONDS SHALL NOT REPRESENT OR CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OR THE TAXING POWER OF THE ISSUER; THE STATE OF OHIO; OR ANY POLITICAL SUBDIVISION OF THE STATE OF OHIO. RATHER, THE BONDS SHALL CONSTITUTE A SPECIAL LIMITED OBLIGATION PAYABLE SOLELY FROM THE PLEDGED REVENUES DESCRIBED IN THE RELATED INDENTURE OF TRUST FOR THE BONDS.

Interested persons are invited to attend this public hearing and will be given an opportunity to express their views on the nature of the Project or the issuance of the Bonds or may submit their comments in writing. Written submissions should be mailed in sufficient time to be received on or before the close of business at 5:00 P.M. local time on November 10, 2025
