Baker McKenzie advises DBAG Fund VIII on the acquisition of Hipp Technology Group
Baker McKenzie has advised DBAG Fund VIII, which is managed by Deutsche Beteiligungs AG (DBAG), on all legal matters in connection with the acquisition of the Hipp Technology Group.
The purchase agreement (SPA) and a shareholders' agreement in connection with the reinvestment of two sellers were signed last week in Zurich. The transaction is expected to close within the next two months.
The consultation was carried out in close cooperation between the German and Swiss Baker McKenzie teams. While the Swiss colleagues managed the SPA under Swiss law, the German team was responsible for drafting the shareholders' agreement. The legal due diligence was coordinated from Germany and carried out jointly by the German and Swiss teams.
The Hipp Technology Group develops and manufactures specialized products for customers in the fields of medical technology, plant and mechanical engineering, the aerospace industry and the automotive sector, among others.
DBAG is a listed investment company based in Frankfurt am Main. Together with the funds it advises, it invests primarily in medium-sized companies with development potential and accompanies them in the long term in strategic growth, operational development and internationalization. With this transaction, DBAG is strengthening its position in the MedTech sector.
