ITEM 8.01. VOLUNTARY DISCLOSURE OF OTHER EVENTS
Summit Networks, Inc. (the "Company") is currently subject to a temporary trading suspension imposed by the British Columbia Securities Commission (BCSC) in connection with the requirement to appoint an independent auditor licensed by both the Public Company Accounting Oversight Board (PCAOB and the Canadian Public Accountability Board (CPAB), in accordance with cross-border audit compliance standards.
As a result of this temporary suspension, the Company has been prohibited from selling shares to raise operating funds. To address the problem, the Company's Chief Executive Officer, Mrs. Chao Long Huang, has agreed to provide the Company with bridge financing of up to $500,000. On August 11, 2025 the Board of Directors of the Company entered into a resolution approving this transaction. The Company has since engaged a public accounting firm that meets the requirements of the PCAOB as well as those of the CPAB. The Board confirms that such individual financing arrangements are conducted transparently and that there is no transfer of control or equity.
