Willkie advised the underwriters in connection with Whirlpool Corporation's ("Whirlpool") concurrent registered offerings valued at approximately $1.12 billion in aggregate gross proceeds.

The offerings consisted of: 7,898,550 shares of common stock, including 1,014,493 shares sold upon full exercise of the underwriters' green shoe option; and 11,500,000 depositary shares, including 1,000,000 depositary shares sold upon full exercise of the underwriters' green shoe option, each representing a 1/20th interest in a share of Whirlpool's 8.50% Series A Mandatory Convertible Preferred Stock.

Willkie also acted as placement agent's counsel in connection with a concurrent private placement of 434,782 shares of the Whirlpool's common stock for an aggregate purchase price of $30 million.
