Item 1. Description of Registrant's Securities to be Registered.

A description of the common stock, par value $0.001 per share (the "Common Stock"), of Exzeo Group, Inc. (the "Registrant") is contained in the Registrant's Registration Statement on Form S-1 (File No 333-290500), which was originally filed with the Securities and Exchange Commission (the "Commission") on September 25, 2025 (as amended, the "Registration Statement"), and in the prospectus included in the Registration Statement to be filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which prospectus shall be deemed to be incorporated by reference herein. The descriptions of the Common Stock contained in the Registration Statement under "Description of Capital Stock" and the other sections of the Registration Statement cross-referenced to under "Description of Capital Stock" are incorporated in this Item 1 by reference.
