(b) On September 16, 2024, Hunter R. Greenlaw, Jr. resigned as a member of the board of directors of Northern Neck Electric Cooperative, one of our member distribution cooperatives. Our Bylaws require each member of our board of directors to serve as a director or employee of the member distribution cooperative that nominated him or her to our board of directors. As a result, Mr. Greenlaw ceased to serve as a member of the Old Dominion Electric Cooperative board of directors on such date.
