Dentons HPRP advises Solusi Sinergi Digital on IDR 2.5 trillion bond and sukuk issuance

Dentons HPRP advised PT Solusi Sinergi Digital Tbk (SSD) on the successful first stage of its shelf public offering, comprising Obligasi Berkelanjutan I Tahap I Tahun 2026 and Sukuk Ijarah Berkelanjutan I Tahap I Tahun 2026, with a combined value of IDR 2.5 trillion (approximately US$139.2 million).

The transaction represents a significant milestone in SSD's capital-raising programme and will support the expansion of its telecommunications infrastructure business through its subsidiary, PT Telemedia Komunikasi Pratama (TKP). The proceeds will be used to finance the development of Fixed Wireless Access (FWA) infrastructure across Java, strengthening digital connectivity and supporting Indonesia's growing digital economy.

Dentons HPRP's Capital Markets team acted as Indonesian legal counsel to SSD on all Indonesian law aspects of the transaction. The team was led by Partner Erwin Kurnia Winenda, supported by Senior Associate Rafi Andiandra Wardhana and Associates Shevanya Raina Kinanti Putri, Yabunaya Salsabila Yuniar, Gabriela Zefanya Hartanto, and David Nathanael Maruhawa.

The team advised on the structuring of both the conventional bond and Sharia-compliant Ijarah sukuk offerings, ensuring compliance with Indonesian capital markets regulations, Financial Services Authority (OJK) requirements, and the applicable Sharia principles. Dentons HPRP also conducted legal due diligence, reviewed the prospectus, prepared and negotiated the transaction documents and legal opinions, and coordinated with regulators, underwriters, the trustee, and other transaction parties through to the effectiveness, issuance, and listing of the securities on the Indonesia Stock Exchange.
