Item 8.01. Other Events.

As of April 23, 2025, the registration statement on Form S-1 (File No. 333-286027) (the "Registration Statement") has been declared effective by the securities and exchange commission (the "SEC"). Accordingly, all Series B Warrants of Greenlane Holdings, Inc. (the "Company") sold in connection with the Company's previously announced private placement (the "Private Placement"), which was consummated on February 19, 2025, are now exercisable. Pursuant to the terms of the Series B Warrants, the exercise price of each Series B Warrant is currently $0.2413, which represents the lowest volume weighted average price of the Company's common stock during the two-trading day period prior to the date the Registration Statement was declared effective; the exercise price is subject to further adjustment as described in the Series B Warrant.
