Willkie represented Revolution Resources III, LLC, in entering into a definitive agreement to acquire Amplify Energy Corp.'s (NYSE: AMPY) oil and gas assets in Oklahoma for $92.5 million.
On November 5, Amplify announced that it entered into a definitive agreement to sell all of its oil and gas interests in Oklahoma for a total contract price of $92.5 million, subject to customary post-closing adjustments. The Oklahoma transaction is expected to close by the end of the fourth quarter of 2025.
Revolution Resources III is a privately funded E&P company based in Oklahoma with backing from Mountain Capital Management.
The Willkie team was led by partner Tan Lu with assistance from counsel Emerson W. Girardeau III and associate Claudia Garnica, and included partners Jeffrey Clancy, Robert Jacobson, Scott Thompson and Stuart Lombardi, counsel John Forbush and William Thomas, and associates David Mohl and Kenneth Sommer.
