Forward Sale Agreements: In connection with the Common Stock Offering, the Issuer entered into forward sale agreements with each of Morgan Stanley Capital Services LLC and Goldman Sachs & Co. LLC, initially with respect to an aggregate of 40,000,000 shares of the Class A Common Stock. Upon the occurrence of the Class C Trigger Event (as such term is defined in the Common Stock Preliminary Prospectus Supplement), the Issuer expects that such forward sale agreements will reference both the Class A Common Stock and the Class C Common Stock (as such term is defined in the Common Stock Preliminary Prospectus Supplement) and, in certain circumstances, the Issuer will have the

2

ability to settle all of the forward sale agreements through the delivery of only shares of Class C Common Stock. See "Underwriting (Conflicts of Interest)-Forward Sale Agreements" in the Common Stock Preliminary Prospectus Supplement.
Initial Forward Sale Price: $622.91875 per share, which is the Public Offering Price of the Class A Common Stock in the Common Stock Offering less the applicable underwriting discount for the Common Stock Offering. The forward sale agreements provide that the Initial Forward Sale Price is subject to adjustment on a daily basis based on a floating interest rate factor equal to the overnight bank funding rate less a spread and will be subject to decrease on each of certain dates specified in the forward sale agreements by amounts related to expected dividends on shares of Class A Common Stock or Class C Common Stock, as applicable, during the term of the forward sale agreements.
Upon the occurrence of a Class C Effective Date (as such term is defined in the Common Stock Preliminary Prospectus Supplement), each forward sale agreement will become two separate transactions, each with terms identical to those of the applicable forward sale agreement immediately prior to the Class C Effective Date, except with one transaction having shares of Class A Common Stock as the underlying shares (a "Class A Transaction") and the other transaction having Class C Common Stock as the underlying shares and with such further changes as required under the terms of each forward sale agreement. Subject to certain conditions, the Issuer will have the ability to settle the Class A Transactions through the delivery of shares of Class C Common Stock, with an adjustment to the forward sale price applicable to such settlement.
See "Underwriting (Conflicts of Interest)-Forward Sale Agreements" in the Common Stock Preliminary Prospectus Supplement.
Use of Proceeds: The Issuer does not expect to initially receive any proceeds from the sale of shares of Class A Common Stock offered by the Forward Sellers in the Common Stock Offering unless an event occurs that requires the Issuer to sell such shares to the underwriters in the Common Stock Offering in lieu of the Forward Sellers selling such shares to such underwriters (including in connection with the exercise of such underwriters' option to purchase additional shares, in whole or in part), in which case the Issuer intends to use all net proceeds from any such sales for the same purposes described below.
The Issuer expects to receive net proceeds, before expenses, of approximately $24.9 billion (or approximately $28.7 billion if the underwriters' option to purchase additional shares is exercised in full), subject to the price adjustment and other provisions of the forward sale agreements, upon settlement of the forward sale agreements, which the Issuer expects to occur on or prior to November 19, 2027.
The actual proceeds to us from the forward sales are subject to the final settlement of the forward sale agreements. The Issuer currently intends to use the net proceeds, if any, that it receives upon settlement of the forward sale agreements for general corporate purposes.

The following table illustrates the conversion rate per share of the Series A Mandatory Convertible Preferred Stock, subject to certain anti-dilution adjustments described in the Series A Depositary Shares Preliminary Prospectus Supplement, based on the applicable market value of the Class A Common Stock:

The following table illustrates the conversion rate per Series A Depositary Share, subject to certain anti-dilution adjustments described in the Series A Depositary Shares Preliminary Prospectus Supplement, based on the applicable market value of the Class A Common Stock:

Notwithstanding the foregoing, following the occurrence of the Class C Trigger Event (as defined in the Series A Depositary Shares Preliminary Prospectus Supplement) and upon conversion on the mandatory conversion date, the conversion rate for each share of Series A Mandatory Convertible Preferred Stock will be a number of shares of Class C Common Stock not more than the then-current Maximum Conversion Rate and not less than the then-current Minimum Conversion Rate, depending on the applicable market value of the Class C Common Stock. Upon the occurrence of the Class C Trigger Event, the Maximum Conversion Rate and the Minimum Conversion Rate will be adjusted in a manner as described in the Series A Depositary Shares Preliminary Prospectus Supplement, and the conversion

rate per share of the Series A Depositary Shares will be adjusted accordingly.

6

Optional Conversion: Other than during a fundamental change conversion period (as defined in the Series A Depositary Shares Preliminary Prospectus Supplement), at any time on or after the 50th trading day immediately following the Class C Dividend Trigger Date and prior to August 15, 2029, a holder of Series A Mandatory Convertible Preferred Stock may elect to convert such holder's shares of Series A Mandatory Convertible Preferred Stock, in whole or in part, into a number of shares of Class C Common Stock at the then-current Minimum Conversion Rate. Upon the occurrence of the Class C Trigger Event, the Minimum Conversion Rate will be adjusted in a manner as described in the Series A Depositary Shares Preliminary Prospectus Supplement. Because each Series A Depositary Share represents a 1/20th fractional interest in a share of Series A Mandatory Convertible Preferred Stock, a holder of Series A Depositary Shares may convert its Series A Depositary Shares only in lots of 20 Series A Depositary Shares.
Fundamental Change: If a fundamental change (as defined in the Series A Depositary Shares Preliminary Prospectus Supplement) occurs on or prior to August 15, 2029, holders of the Series A Mandatory Convertible Preferred Stock will have the right to convert their shares of Series A Mandatory Convertible Preferred Stock, in whole or in part, into (i) shares of Class C Common Stock, if the Class C Trigger Event has occurred on or prior to the related fundamental change reference date (as defined in the Series A Depositary Shares Preliminary Prospectus Supplement) or (ii) shares of Class A Common Stock, if the Class C Trigger Event has not occurred on or prior to the related fundamental change reference date, in each case, at the applicable fundamental change conversion rate (as defined in the Series A Depositary Shares Preliminary Prospectus Supplement) during the period beginning on, and including, the related fundamental change reference date and ending on, and including, the earlier of (a) the date that is 20 calendar days after such fundamental change reference date (or, if later in the case of a fundamental change reference date that occurs on the effective date of the fundamental change, the date that is 20 calendar days after holders receive notice of such fundamental change) and (b) August 15, 2029. For the avoidance of doubt, the period described in the immediately preceding sentence may not end on a date that is later than August 15, 2029.
The following table sets forth the fundamental change conversion rate per share of Series A Mandatory Convertible Preferred Stock based on the effective date of the fundamental change and the stock price (as defined in the Series A Depositary Shares Preliminary Prospectus Supplement) of the Class A Common Stock in the fundamental change:

The exact stock price and effective date may not be set forth on the table, in which case:

•

if the stock price is between two stock prices on the table or the effective date is between two effective dates on the table, the fundamental change conversion rate per share of Series A Mandatory Convertible Preferred Stock will be determined by straight-line interpolation between the fundamental change conversion rates per share of Series A Mandatory Convertible Preferred Stock set forth for the higher and lower stock prices and the earlier and later effective dates, as applicable, based on a 365-day or 366-day year, as applicable;

•

•

if the stock price is less than $100.00 per share (subject to adjustment in the same manner as the stock prices in the column headings of the table above as described in the Series A Depositary Shares Preliminary Prospectus Supplement), then the fundamental change conversion rate per Series A Depositary Share will be the Maximum Conversion Rate, divided by 20.

Notwithstanding the foregoing, (i) following the occurrence of the Class C Trigger Event, all references to "Class A Common Stock" in the second and fourth immediately preceding paragraphs will be deemed to be references to "Class C Common Stock" and (ii) with respect to any fundamental change that occurs prior to the first anniversary of the last date of original issuance of the Series A Mandatory Convertible Preferred Stock, the fundamental change conversion rate for the Series A Mandatory Convertible Preferred Stock and the Series A Depositary Shares applicable to such fundamental change will be the relevant rate determined in accordance with the four immediately preceding paragraphs as of the effective date of such fundamental change, as adjusted from time to time in the same manner and at the same time as the Minimum Conversion Rate and the Maximum Conversion Rate as described in the Series A Depositary Shares Preliminary Prospectus Supplement, including upon the Class C Trigger Event, until the related conversion date.
The stock prices set forth in the first row of each of the two tables above (i.e., the column headers), the prices in the second and third bullet under each of the two tables above and each fundamental change conversion rate in each of the two tables above will be adjusted as of any date on which the Minimum Conversion Rate and the Maximum Conversion Rate are adjusted as described in the Series A Depositary Shares Preliminary Prospectus Supplement, including upon the Class C Trigger Event.
Because each Series A Depositary Share represents a 1/20th fractional interest in a share of Series A Mandatory Convertible Preferred Stock, a holder of Series A Depositary Shares may convert its Series A Depositary Shares upon the occurrence of a fundamental change only in lots of 20 Series A Depositary Shares.
