Kraken said it has confidentially submitted a draft S-1 to the Securities and Exchange Commission for a proposed initial public offering. The exchange did not disclose the size of the offering or a potential price range.
Kraken, one of the longest-running cryptocurrency trading platforms in the United States, said on Wednesday that it had confidentially submitted a draft registration statement to the Securities and Exchange Commission, taking a formal step toward a potential initial public offering.
The company, Payward, Inc., which operates under the Kraken brand, said the filing was made on Form S-1 and that details including the number of shares and the expected price range had not yet been determined. Kraken said the offering would proceed only after the SEC completes its review and would remain subject to market and other conditions.
The announcement, issued under Rule 135 of the Securities Act of 1933, emphasized that it did not constitute an offer to sell securities or a solicitation to buy them, and that any eventual sale would occur through the registration process required under federal law.
Founded in 2011, Kraken portrays itself as a security- and transparency-focused platform, noting that it was the first crypto exchange to conduct proof of reserves. The company said its customers can trade more than 450 digital assets, along with products such as U.S. futures and U.S.-listed stocks and ETFs, and that its broader business includes institutional services, on-chain offerings and the NinjaTrader retail trading platform.
