Failure to Satisfy Listing Rule (Form 8-K)

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On October 23, 2026, Innventure, Inc. (the "Company") received a letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") informing the Company that, based upon the closing bid price of the Company's common stock, par value $0.0001 per share ("Common Stock"), for the thirty consecutive business days ended October 22, 2026, the Company no longer satisfies the continued listing requirement to maintain a minimum bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5450(a)(1) (the "Bid Price Requirement"). In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has been provided an initial period of 180 calendar days, or until April 21, 2027 (the "Initial Compliance Period"), to regain compliance by satisfying the Bid Price Requirement for a minimum of ten consecutive business days during the Initial Compliance Period.
If the Company does not regain compliance with the Bid Price Requirement within the Initial Compliance Period, it may be provided an additional compliance period of 180 calendar days (the "Additional Compliance Period") to regain compliance if it applies to transfer the listing of the Common Stock from the Nasdaq Global Market to the Nasdaq Capital Market. To qualify for the Additional Compliance Period, the Company must satisfy the continued listing requirement for the market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, with the exception of the Bid Price Requirement, based on the Company's most recent public filings and market information. The Company must also provide written notice to Nasdaq of its intent to cure the deficiency.
The letter does not result in the immediate delisting of the Company's Common Stock from The Nasdaq Global Market. While the Company is exercising diligent efforts to maintain the listing of its securities on Nasdaq, there can be no assurance that the Company will be able to regain or maintain compliance with the Bid Price Requirement, secure the Additional Compliance Period, or maintain compliance with the other Nasdaq listing requirements.
