Item 8.01 Other Events.

On December 2, 2025, Hometown Bancshares, Inc. ("Hometown"), held a special meeting of its shareholders to vote on approval of the merger (the "Merger") of Hometown with and into First Community Bankshares, Inc. (the "Company") pursuant to the Agreement and Plan of Merger dated July 19, 2025 (the "Merger Agreement"), by and between Hometown and the Company.

At the special meeting, the Merger Agreement was approved by the requisite vote of Hometown's shareholders.

Completion of the Merger remains subject to the approval from the Virginia State Corporation Commission Bureau of Financial Institutions and other customary closing conditions. The parties currently expect the transaction to close in the first quarter of 2026.
