This Disclosure Notice provides certain updated information about your Ultimate Variable Annuity Contract (the "Contract"), a group flexible payment fixed and variable annuity contract issued by Brighthouse Life Insurance Company ("BLIC", the "Company", or "we" or "us"). The Contract is no longer available for purchase.
Updated financial statements for BLIC and Brighthouse Separate Account A (the "Separate Account") are available, free of charge at https://dfinview.com/BHF/PUFT/BHF194. The Contract prospectus, dated November 6, 1996, as supplemented, is available and contains more information about the Contract including its features, benefits, and risks. Glossary
Certificate - The form you are given which describes your rights under the Contract. No Certificates are issued for certain deferred compensation or qualified corporate retirement plans. Unless the context provides otherwise, references to the Contract also refer to Certificates.
Fund (or Portfolio Company) - An open-end management investment company, or series thereof, registered under the Investment Company Act of 1940, which serves as the underlying investment medium for a Series in the Separate Account.
General Account - A fixed account investment option that offers an interest rate guaranteed by us. The General Account consists of all assets of BLIC other than those in the Separate Account or any of its other segregated asset accounts.
Monitored Portfolios - Certain Funds on which we monitor transfer activity. We may change the Monitored Portfolios at any time without notice in our sole discretion.
Participant - You, the person who makes Purchase Payments, or the person for whom Purchase Payments are made.
Participant's Account (or Account) - The sum of your interest in each Series of the Separate Account and your interest in the General Account.
Plan - The 403(b) plan, deferred compensation plan, qualified retirement plan, or individual retirement annuity to which the Contract is issued.
Purchase Payment - The amounts paid by or for you in order to provide benefits under the Contract.
Separate Account - The segregated asset account entitled "Brighthouse Separate Account A."
Series - A subdivision of the Separate Account. Each Series invests in a single underlying Fund.
Updated Information You Should Consider About the Contract
The information in this section of the Disclosure Notice is a summary of certain Contract features that have changed since the Disclosure Notice dated April 28, 2025. This does not reflect all of the changes that have occurred since you entered into your Contract.
On November 6, 2025, Brighthouse Financial, Inc. ("BHF") and Aquarian Capital LLC ("Aquarian") announced that they had entered into a definitive agreement under which an affiliate of Aquarian will acquire BHF. This transaction is subject to the satisfaction or waiver of customary closing conditions, including receipt of applicable regulatory approvals. Subject to such approvals and the satisfaction or waiver of the other conditions, the transaction is expected to be consummated in 2026.
Upon the consummation of the transaction, Aquarian will become the ultimate parent of BHF and the Company will remain an indirect wholly-owned subsidiary of BHF. Although Aquarian will replace BHF as the Company's ultimate parent, the Company will continue in its present role as the issuer of your Contract. All of your rights and benefits under your Contract and the Company's obligations under the Contract will remain unchanged.
Founded in 2017, Aquarian Capital is a diversified global holding company with a strategic portfolio of insurance and asset management solutions. Aquarian is headquartered in New York, NY.

Fund Name Change. A Fund was subject to a name change. The chart below identifies the former name and new name of this Fund. The effective date of this name change is May 1, 2026.

Withdrawals?
Yes. If you withdraw money during the first 5 years following a Purchase
Payment, you may be assessed a surrender charge of 7% of the Purchase
Payment withdrawn.
For example, if you make an early withdrawal, you could pay a surrender
charge of up to $7,000 on a $100,000 investment. This loss will be greater if
there are taxes or tax penalties.

Charges?
Yes. In addition to charges for early withdrawals, you may also be charged
for other transactions. These include a charge for transferring cash value
between any Series and to the General Account, taking a full or partial
surrender, annuitizing all or part of your Participant's Account, or initiating a

Transaction Charge for Transfers. Currently, we do not charge for transfers.
However, we reserve the right to charge for transfers from any Series.

taxes, and tax penalties. Surrender charges may apply for the first 5 years
following a Purchase Payment. Surrender charges will reduce the value of
your Contract if you withdraw money during that time period. Surrenders
could significantly reduce the value of your Contract, the death benefit,
and other Contract benefits. The reduction may be more than the amount
surrendered.

stable net asset value of $1.00 per share. During extended periods of low
interest rates, the yield of a Series of the Separate Account that invests in a
money market fund may become extremely low and possibly negative. It is
therefore possible that your Contract Value may decline even when you
select a money market fund for investment.

options during the accumulation phase. However, we reserve the right to
