Norton Rose Fulbright advises Accession Capital Partners on its mezzanine and minority investment in POLMED

Global law firm Norton Rose Fulbright has advised Accession Capital Partners (ACP) on its mezzanine and minority investment in POLMED S.A., one of Poland's largest private healthcare groups.

The transaction, conducted alongside INVL Private Equity Fund II and the International Finance Corporation (IFC), supports POLMED's growth strategy, including the planned acquisition of Kliniki Neuroradiochirurgii sp. z o.o. (the KN Group).

The firm provided comprehensive legal advisory services throughout the transaction, including investment structuring, legal due diligence, advice on both equity and debt financing, drafting and negotiation of transaction documents, antitrust advice, and coordination of regulatory matters.

The transaction was highly complex due to its cross-border nature and multi-layered structure. It involved stakeholders and regulatory considerations across Poland, the UK, the US, Lithuania, and Luxembourg, requiring careful coordination of legal, financial, and regulatory requirements in multiple jurisdictions. In addition, the deal combined both equity and debt financing with the acquisition of the KN Group, necessitating precise structuring and negotiation to align the interests of all parties and ensure compliance across different legal systems.

The closing of the transaction is subject to the antitrust clearance and other customary conditions precedent.

The Warsaw-based Norton Rose Fulbright team was led by counsel Krzysztof Jasiński, responsible for the corporate and M&A stream, and counsel Marta Kawecka, leading the banking and finance stream.

The corporate and M&A team included partner Agnieszka Braciszewska, counsels Artur Jończyk and Joanna Braciszewska-Szarapa, and senior associate Maciej Dubiel, who advised on due diligence and transaction documentation. The banking and finance stream was further supported by associate Jakub Wiatrzyk. The antitrust stream was handled by counsel Wojciech Janik and associate Damian Pawlak.

The team worked under the supervision of Grzegorz Dyczkowski, head of the Warsaw office and of the firm's Warsaw banking and finance practice.
